Corporate Paralegal Assistant


Masuda Funai is seeking a Corporate Paralegal Assistant to join the firm's downtown Chicago office. As a member of the firm's Corporate, Finance & Acquisitions Group, this position will provide high-level administrative and paralegal support to attorneys and senior paralegals. The ideal candidate will be customer-service oriented with a professional, diplomatic and resilient demeanor, and the ability to handle a variety of client and attorney matters.


Key responsibilities include the following:

  • Typing correspondence and documents including letters, memoranda, and forms for attorneys and paralegals; proofread documents and read for logic
  • Creation and maintenance of corporate and LLC minute books
  • Preparation and filing of state annual reports
  • Preparation of annual consents electing directors and officers
  • Preparation of closing documents exhibits
  • Ordering of state documents for closing
  • Review statements of registered agents for payment approval
  • Work with attorneys and paralegals to continually update and revise guidelines and questionnaires relating to incorporation in various states and tax registrations in various states
  • Filing, photocopying, pending files, etc., as required
  • Perform other duties/projects, as assigned


  • Proficient in Microsoft Office
  • Excellent business writing, editing and proofreading skills
  • Strong organization, document management and prioritization skills
  • Detail oriented and ability to multi-task
  • Familiarity with corporate service vendors and government agencies to obtain certified documents
  • Familiarity with state and local rules/filing procedures strongly preferred
  • Excellent interpersonal and communication skills
  • Must be able to work independently in a fast-paced practice area


  • Paralegal or Bachelor’s Degree
  • Minimum 3 years’ Legal Assistant experience, preferably in Corporate

Human Resources Manager


We are seeking a highly motivated, hands-on professional to join the firm's management team, providing leadership and administration of the firm’s Human Resources functions across its offices in Chicago and Schaumburg, Illinois and Los Angeles, California. Excellent communication and interpersonal skills are essential, along with the ability to prioritize and execute numerous tasks, and identify and implement creative solutions to enhance productivity and efficiency throughout the firm.


As the Human Resources Manager, your essential job duties will include:

  • Staff and attorney recruitment and onboarding, as well as talent retention, development and training
  • Employee relations, including effectively managing employee issues, staff reassignments, counseling staff and developing and communicating performance improvement plans
  • Benefits administration for the firm’s health and welfare benefits programs, from vendor management, to plan design analysis and administration
  • Oversee daily staff workflow needs/issues and review and approve time off requests for various staff members
  • Manage the annual performance review process for associate attorneys and staff
  • Payroll administration and HRIS maintenance
  • Research, recommend and implement wellness initiatives
  • Develop and implement policies and procedures, including updating and maintaining the Employee Handbook
  • Assist with planning and organizing firm events and employee engagement activities


  • Ability to exercise discretion, initiative and exhibit a high level of confidentiality
  • Proficiency in Microsoft Word and Excel; ADP WorkforceNow experience is a plus


  • Bachelor's degree in Human Resources or business
  • Minimum of 7 years' experience in the HR field, preferably in a law firm or professional services environment
